Business Contracts

Business contracts are legally binding agreements that outline the terms and conditions between UCLA and a single external customer for a specific service unit, a limited term, and are services that are not provided as part of an approved rate structure. These activities are governed under UCLA Policy 340: Sales and Service Activities, and the DGSOM Dean's Office maintains oversight and delegation of authority to execute business contracts within the school. Business and Finance Solutions is responsible for establishing a new fund and appropriating the budget for tracking of business contract related activities.

Topics

Business Contract Budget

Departments are required to submit a budget in addition to the completed business contract template, the budget should take into account all expenses required to fulfill services for the term of the contract. A link to the UCLA Business Contract template is provided below.

UBIT

UCLA Tax Services requires all business contracts be reviewed to determine whether the activity is subject to Unrelated Business Income Tax (UBIT). Departments must submit the UCOP Unrelated Business Income Questionnaire in addition to all other required documentation. The questionnaire can be found in the links below.

Conflict of Interest

The principal investigator responsible for business contract related activities must complete a customer pre-screening questionnaire disclosing any known conflict of interest between the client and DGSOM employees involved in the performance of the business contract. This questionnaire can be found in the links below.
